Terms and Conditions

Thank you for engaging brilliantblu (bb) to provide business generation services for your business. I look forward to working with you and driving your business forwards. Please see below for our base Terms and Conditions. A specific contract, based on these Terms and Conditions but tailored to the specific project/type of work we have been contracted to undertake for you, will be provided for the signature of both parties.

Nature of services
bb offers a full range of marketing and new business development services. Once agreed we will detail the services to be provided.

Fees
We will invoice the agreed amount (day or project rate) on the agreed basis (weekly, monthly or project). Payment due within 14 days of invoice. Any changes will be fully explained and agreed between us before coming into effect. Where additional services and work are requested, a quote will be prepared. If this is agreed separate invoicing will be raised (also payable 14 days after invoice date). Payment to be made to account details to be supplied. bb reserves the right to stop work if any payment is either declined, fails or is unpaid when due.  bb reserves the right to claim interest and charges under the Late Payment of Commercial Debts (Interest) Act 1998 where payment is late, delayed or unpaid after a reasonable period of time.

Notice period
To be agreed at the outset. Any changes to be agreed by both parties before actioning.

Timing and reliability of work
All deliverables are provided to the best of knowledge (generally).

Customer service
bb is committed to providing the highest standards of customer service.  If you have any ideas as to how our service to you could be improved, or if you are dissatisfied with the service you are receiving, please let us know.  In the event that you have a complaint, we will investigate this carefully and promptly and do all we can to explain the position to you and address your concerns.

Ownership of records
In the event of non-payment of our fees for services rendered, we may exercise a particular right of lien over all work and associated paperwork will remain property of bb until our invoice is received in full.

File destruction
Whilst certain documents may legally belong to you, unless you tell us not to, we intend to destroy correspondence and other papers that we store which are more than seven years old, other than documents which we think may be of continuing significance.  If you require the retention of any document, you must notify us of that fact in writing.

Ethical guidelines
We will observe reasonable ethical guidelines and accept instructions to act for you on the basis that we will act in accordance with those guidelines.  

Third parties
All information provided is for your exclusive use within your business or to meet specific statutory responsibilities.  They should not be shown to any other party without our prior consent. No third party shall acquire any rights pursuant to our agreement to provide professional services. bb is not liable for the result of any improper action or negligence by its third-party partners. If any action was thus  necessary this to be handled directly between third party and end customer.    

Applicable law
This engagement letter is governed by, and construed in accordance with, English law.  The Courts of England will have exclusive jurisdiction in relation to any claim, dispute or difference concerning this engagement letter and any matter arising from it.  Each party irrevocably waives any right it may have to object to any action being brought in those courts, to claim that the action has been brought in an inappropriate forum, or to claim that those courts do not have jurisdiction.

Disclaimer
We will not be liable for any loss suffered by you or any third party as a result of activities undertaken on your behalf.

Agreement of terms
Once agreed, the contract will remain effective from the date of signature until it is replaced.  You may terminate authority for us to act on your behalf at any time without penalty subject to period and notice of termination being provided in writing. A signature will be required to confirm agreement to the terms set out here and a specific contract will be supplied upon commencement of our partnership.
